John R. Thornburgh

John is a transactional lawyer with 30 years of experience in commercial real estate and business transactions who joined the Firm as a partner in December 2017. His practice focuses on the day to day representation and counseling of business owners and their closely held businesses in matters such as: selection of entity and entity formation; shareholder, partnership and operating agreements; mergers, asset and stock acquisitions and sales; debt and equity financings and loan transactions; commercial real estate acquisitions, development and sales; non-competition and employment agreements; and dispute resolution involving partners and shareholders. A significant part of John’s practice also involves dealing with adversity routinely encountered by the business owner, including employment disputes, partner disputes, vendor and service provider disputes, lease negotiations and debt restructuring.

John has assisted clients in a number of asset and stock acquisitions and sales and company mergers; hotel, office, retail shopping center acquisitions, developments, sales and financings; office and retail lease negotiations representing landlords and tenants; drafting of employment and consulting agreements including covenants not to compete for employers and employees; loan transactions representing lenders and borrowers; formation of startup companies and assisting with the recapitalization of existing businesses; negotiating and drafting shareholder agreements, llc operating agreements; and with the assistance of the Firm’s litigation attorneys, negotiating and documenting “business divorces” when partners and shareholders find it difficult to continue in business with one another.

John joined the Firm after spending the last thirty years at the Atlanta firm of Wagner, Johnston & Rosenthal, P.C., where he became its president in 2008 and served in that position for most of the last nine years. He graduated from the University of Georgia with a double major in English and Economics (B.A. 1984) and from the University of Georgia School of Law (J.D. 1987), where, in addition to his studies, he served as a member of the Editorial Board of the Georgia Journal of International and Comparative Law and worked part time as a research assistant for a professor in the School of Business. John began his legal career with the Firm in 1987 and was admitted to the Georgia Bar in 1987.

Away from the office, John devotes much of his time to his wife and children where he is regularly involved in activities at church, school, youth sporting events and scouting. He is an Eagle Scout, Wood Badge trained adult and serves as an Assistant Scoutmaster with BSA Troop 444 in Marietta.
